Associate (Mid-Level)

Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (mid-level) in New York, NY to take responsibility for managing assigned workstreams on public and private company mergers and acquisitions under partner and senior associate supervision. Draft, revise, and negotiate substantive transaction documents, including key governance agreements, transitional and post-closing agreements, and discrete sections of principal transaction documents. Requires JD, LLM or foreign equivalent and two years of experience as an Associate or related occupation. Must include 2 years of experience in each of the following: Provide execution support for transaction signings and closings for sophisticated public and private company M&A deals by assisting senior team members with the preparation of execution materials and completing post-closing follow-up tasks. Assist with coordination among internal firm teams, including tax, employee benefits, real estate, and intellectual property groups, in connection with corporate transactions, under supervision. Draft and review ancillary transactional documents, including signing and closing documents for public and private company mergers and acquisitions, legal memoranda and opinion letters. Assist in representing clients in a variety of corporate transactions and negotiating effectively with the counterparty in challenging situations. Advise clients on corporate law issues and assist with corporate governance and other general corporate matters. Review corporate governance documents and commercial contracts, including customer contracts, credit agreements and leases, assist with diligence calls, drafting due diligence memoranda and presentation, and provide clients with periodic diligence updates. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 – 435,000/ year, depending upon class year.
