About the Opportunity
Miller Johnson is seeking an associate to join our Corporate, Mergers & Acquisitions Practice Group in our Grand Rapids or Cincinnati offices. This is an excellent opportunity for an early-career attorney who is interested in building a sophisticated debt finance practice while working closely with experienced attorneys on a broad range of financing transactions.
The ideal candidate is a collaborative, detail-oriented attorney who enjoys transactional work and is eager to develop deep technical knowledge while building strong client relationships. What You'll Do
As an Associate within our Corporate, Mergers & Acquisitions Practice Group, you will:
Assist with structuring, negotiating, and documenting debt financing and capital arrangements. Draft and review loan agreements, security agreements, financing documents, and other transaction materials. Conduct due diligence and assist with transaction closings. Collaborate with attorneys across the firm's corporate, real estate, and tax practices to efficiently execute transactions. Participate in client communications and develop a strong understanding of clients' business objectives and financing strategies. Support a broad range of financing transactions, including commercial lending, real estate financing, private placements, and acquisition financings. Develop practical, business-focused solutions to complex transactional matters while providing exceptional client service.

Qualifications include:
- Juris Doctor from an ABA-accredited law school.
Admission to the applicable state bar or eligibility for admission in the jurisdiction where practicing.
One to three years of experience in finance, corporate, or another related transactional practice preferred.
Strong academic credentials and a demonstrated interest in transactional law.
Excellent drafting, analytical, and organizational skills.
Ability to manage multiple matters and deadlines in a fast-paced environment.
Strong attention to detail and problem-solving abilities.
Excellent written and verbal communication skills.
